Members

Art.11 – The Association includes the following types of members:

 

a) Founding members
There are 8 founding members as stated in the minutes of the foundation meeting on 8th February 2008, who have agreed on founding the Association; the list with the names of the founding members is part and parcel of the present statute.
The founding members are obliged to provide the initial capital and to ensure ethically and professionally the prestige of the Association.


b) Associated members
Associated members are persons who join the Association after legal registration, complying with the present statute; they accept willingly the terms of the statute, pay the membership fee and support, through their activity, the goals and objectives of the association.
Any natural or legal person from Romania and / or other countries may become an associated member.
The status of associated member cannot be transferred or inherited.


c) Sympathising members
Sympathising members are natural and / or legal persons who do not take part in the association’s activities, but provide moral and / or material support in activities in progress.


d) Honorary members
Honorary members are Romanian and / or foreign persons with an outstanding professional reputation, highly appreciated by the founding and associated members.
The honorary members are nominated by the founding or associated members and elected by the General Assembly.

 

Art.12 – The prerogatives of the Association members are as follows:


a)to elect or be elected in the association board;
b)to take part in all activities;
c)to express freely and openly their opinion about the association’s activity;
d)to be appointed as representatives of the association in national and international events;
e)to represent the association by complying with professional ethics;
f)to benefit from the actions and activities organised by the association.

A member showing personal interest in any problem decided by the General Assembly or the Board is not entitled to vote.
The voting right is not transferable.

 

Art.13 – The obligations of the Association members are as follows:


a)to actively take part in the activities organized by the association, to contribute financially, through personal activities and other services, to its development;
b)to comply with the statute, the norms and principles of professional ethics and to improve their prestige;
c)to defend the association’s interests and avoid actions against these interests.

 

Art.14 – Approval of membership is decided by the General Assembly; each application for membership is to be approved by the Board.
The association has an open policy for accepting new members.

 

Art. 15 – Membership ceases under the following circumstances:


a)upon request, on condition of announcing the Board of this decision 6 months prior to end of year;
b)exclusion for:


-no payment of the annual fee by the end of the year;
-unjustified missing of three consecutive general assemblies;
-destabilizing and constant misconduct within the association;
-deeds and conduct that prevent accomplishment of the association’s goals and objectives;
-offence to the association’s image;
-infringement of the statute, of decent conduct and / or solidarity;
-infringement of any obligations established by the association.


The decision to exclude an association member will be taken by the Board with at least 2/3 of the Board members supporting the proposal.
The decision is valid with half plus one of the votes of the Board members.
Meetings for member exclusion require the presence of all Board members.
The excluded member may address the General Assembly, whose decision is compulsory and final.
Before exclusion, the Board may decide on the following sanctions: reprimand and warning; the member may not attack any of the two sanctions.
Three consecutive sanctions including reprimand and / or warning entangle exclusion.
The exclusion of a founding member may be decided only by the General Assembly. To this purpose, ¾ of the association members must be present; the decision is taken with 2/3 votes of the present.


c) erasure
Erasure occurs for deceased members or in case of citizenship withdrawal.

 

Art.16 – Any member may withdraw from the association on condition of addressing the Board with an advance notice of at least 6 months before the end of the calendar year.
The withdrawn or excluded members do not have any patrimonial rights and are to pay the due membership fee.

 

Art. 17 – Besides regular members – founding members and associated members, the association may have several occasional collaborators.
